1. Definitions

All services performed by BLITZ GROUP LTD (“the company”) for any person, firm or company (“the customer”) shall be carried out on the following terms which may only be modified by written agreement between the parties.


2. Contract (General Cleaning Only)

The contract (also known as the ‘maintenance agreement’) between the company and the customer is for cleaning and maintenance services as described in the schedule. These services would be carried out at the site or sites identified in the schedule. The initial term of the contract is 12 months unless a different period is specified in the schedule or agreed in writing prior to commencement. The contract will automatically renew for a further 12 months on each future anniversary, unless terminated by either party under the terms detailed below.


3. Termination

The parties’ contract may be terminated by either party upon notice of that party’s intention to terminate same being given to the other, not less than one calendar month prior to the proposed date of termination. Otherwise, the agreement between the parties shall continue.

Likewise, any reduction or change in hours requested by the customer must be accompanied by one month’s written notice (if applicable).


4. Increase in Contract Cost (General Cleaning Only)

The contract price will adjust annually in line with the increase in the National Living Wage (NLW) (or Real Living Wage (RLW) if relevant). Such contract price adjustment is to take effect from the Monday prior to the date on which the increase comes into force.

Alternatively, in the absence of any annual adjustment in the NLW (or RLW), the price will increase by the rate of inflation only, to be communicated to the customer in advance by letter.


5. Interest on Late Payments

The company’s invoices must be paid in full within 30 days of the invoice date. If payment is not made by the customer as aforesaid, interest will accrue on the sum outstanding from the date payment fell due, until the sum is paid in full, at the rate of Eight per cent (8%) per annum above the current base rate of The Royal Bank of Scotland plc. Such interest shall be compounded on a quarterly basis. Further, in the event of the customer failing to make timeous payment of the invoice due (together with interest thereon as aforesaid), the company reserves the right to (a) terminate this Agreement forthwith by notice in writing to the customer and thereafter to remove their equipment and materials from the customer’s premises and/or (b) suspend the provision of a cleaning service to the customer until such time as all sums due to the company have been paid, the customer being bound to continue to pay the contract price notwithstanding such suspension.


6. Storage

The company undertakes to supply all labour, equipment and cleaning materials required to provide the services for which the parties have contracted unless otherwise specified. The customer shall provide the company with a safe storage for equipment and materials and shall be responsible for the safe custody of all equipment belonging to the company held within the customer’s premises.


7. Equal Opportunities

All decisions relating to employment practice will be objective, free from bias and will be based upon work related criteria and individual merit. If you have any problem with an employee, please put your complaint in writing and provide supporting evidence.


8. Permutation of Hours

The Company may change the permutation of daily hours if practicable while preserving the correct allocated time. For example, the Company may place double the number of workers for half the allocated time, or half the number of workers for twice the daily allocation.


9. Blood, Vomit, Faeces etc

On grounds of Health and Safety, the company shall not be required, as part of its contract, to clean vomit, blood, excretion or any other body spillages. A special price for such cleaning will be quoted on demand.


10. Lack of Access

In the event of the company being prevented from carrying out the services as a result of the act or omission of the customer and/or his servants or agents, said services shall be deemed performed and the company’s charges for the services shall be payable as if the services had so been performed. Cleaning operatives who rely on the customer for access will wait for a period of 20 minutes after agreed commencement of shift time, in Autumn or Winter months and 30 minutes in Spring and Summer months, and if access is still not provided by the customer, the cleaner may leave and company’s charges for the services shall be payable for that day.


11. Public Holidays

The company will observe those public holidays as stipulated by the Glasgow City Council and its statutory successor, unless the customer’s business dictates that service is required on such days. If service is required on a public holiday (except during Christmas or New Year), the cleaner will be paid the normal rate and will be able to take an alternative holiday (day in lieu). If service is required on Christmas Day, Boxing Day, New Year’s Day or the 2nd January (or alternative days if they fall at weekends), then double the normal daily rate will be charged in addition to the normal monthly contract cost.

NB: The monthly contract cost is calculated as an average over the year taking into account the 8 public holidays. Therefore, all public holidays not worked, except during the Christmas/New Year period, will incur the normal built-in charge for that day, with the cleaner paid as normal for the holiday.


12. Fire and Emergency

It shall be the responsibility of the customer to ensure that the company’s employees are made aware of any fire and emergency procedures applied to the customer’s premises.


13. Loss of Keys and Security

If any BLITZ GROUP LTD worker loses keys or has them stolen from their possession, the company agrees to pay for the replacement of at least one of the relevant locks using a reputable locksmith of the company’s choice.


14. Closing of windows and switching off of equipment

While the company is keen to cooperate and be generally helpful wherever possible, it cannot accept responsibility for the closing of windows, or the disconnecting of electrical items as part of our contractual duties.


15. Indemnity

The customer shall be obliged to insure against any loss or liability which may arise, directly or indirectly, from the presence on the customer’s premises of the company’s employees in the course of their employment and undertakes to indemnify the company against any claims arising there from or relating thereto.


16. Use of Law

The parties’ agree that the contract shall be governed by Scots Law and they hereby agree to submit to the exclusive jurisdiction of Glasgow Sheriff Court.
